1. INTRODUCTION AND ACCEPTANCE OF TERMS

1.1 Binding Agreement.
These Terms of Service (“Terms”) are a binding legal contract between IBIO LLC, a Wyoming limited liability company doing business as Income Builder (“Income Builder,” “we,” “us,” or “our”), and any individual or entity (“User,” “you,” or “your”) who accesses or uses the website located at https://incomebuilder.io, our applications, software, and all related tools, data, content, and services (collectively, the “Services”).

1.2 Acceptance.
By visiting, registering for, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all incorporated policies—including our Privacy Policy, Data Processing Addendum, and any service-specific agreements or disclosures.

1.3 Amendments.
Income Builder reserves the right, at its sole discretion, to amend, modify, or update these Terms at any time. Updates become effective upon posting on the Services or other written notice. Your continued use of the Services after such posting constitutes acceptance of the revised Terms.

1.4 Language and Interpretation.
Headings are provided for convenience only. Words in the singular include the plural and vice versa. References to “including” mean “including without limitation.”

2. ELIGIBILITY, ACCOUNT REGISTRATION, AND ACCESS

2.1 Eligibility.
The Services are intended solely for natural persons who are at least 18 years of age and possess the legal capacity to enter into binding contracts. By registering an account, you represent and warrant that you meet these requirements.

2.2 Account Registration.
To access restricted areas or paid features, you must create an account by providing accurate, current, and complete information. You agree to maintain and promptly update such information. You are solely responsible for all activities occurring under your credentials.

2.3 Access Control.
Income Builder may, at its discretion and without prior notice, suspend or restrict access to the Services for maintenance, upgrades, or suspected security violations. No such suspension shall be deemed a breach of these Terms.

2.4 Account Security.
You must keep your username and password confidential. You agree not to share your credentials or permit others to use your account. You are liable for all usage and transactions performed under your account, whether authorized or not, unless caused solely by Income Builder’s gross negligence or willful misconduct.

2.5 Corporate Accounts.
If you create an account on behalf of a company or other legal entity, you represent that you have authority to bind that entity and that the entity accepts these Terms.

3. DESCRIPTION OF SERVICES AND LICENSE GRANT

3.1 Purpose.
Income Builder provides a cloud-based subscription software platform designed to assist users in discovering, analyzing, acquiring, and managing real-estate investment portfolios through data aggregation, financial modeling, and management dashboards.

3.2 License Grant.
Subject to payment of all applicable fees and compliance with these Terms, Income Builder grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal investment-management and educational purposes.

3.3 License Restrictions.
You shall not:
a) reproduce, modify, translate, or create derivative works of the Services;
b) resell, rent, lease, or distribute the Services to third parties;
c) circumvent or disable any security or usage controls;
d) reverse-engineer or attempt to derive source code; or
e) use the Services in any manner that infringes any patent, trademark, trade secret, copyright, or other proprietary right of any party.

3.4 Reservation of Rights.
All rights not expressly granted herein are reserved by Income Builder. The Services are licensed, not sold.

3.5 Service Modifications.
Income Builder may enhance, replace, or discontinue any feature, module, or data integration at its discretion. Such changes shall not constitute a breach of these Terms, provided that materially adverse modifications to paid features will be communicated in advance where commercially feasible.

4. SUBSCRIPTIONS, PAYMENT TERMS, AND BILLING POLICIES

4.1 Subscription Plans.
Access to paid functionality requires enrollment in a subscription plan described on the website or order form. Plans may vary by usage limits, feature set, or term length.

4.2 Automatic Renewal.
Unless otherwise stated, subscriptions renew automatically for successive periods equal to the initial term. By enrolling, you authorize recurring charges to your designated payment method until canceled in accordance with these Terms.

4.3 Billing and Payment Processor.
Payments are processed securely through Stripe, Inc. or other authorized processors. By providing payment information, you authorize Income Builder and its agents to charge all applicable fees plus taxes. You agree to maintain valid payment credentials at all times.

4.4 No Refund Policy.
All purchases are final and non-refundable, including for partial months or unused Services, except where prohibited by law. Trials, promotions, or credits do not create any obligation for future refunds.

4.5 Taxes.
You are responsible for all sales, use, value-added, or other taxes associated with your subscription, excluding taxes based on our income.

4.6 Failure to Pay.
If payment is not received when due, Income Builder may suspend or terminate access without liability. Delinquent balances may accrue interest at 1.5 % per month (or the maximum rate permitted by law). You shall reimburse all reasonable collection costs.

4.7 Plan Changes.
You may upgrade or downgrade your subscription through your account settings. Downgrades may cause loss of content or features. Upgrades take effect immediately; downgrades take effect at the next renewal.

5. USER CONDUCT AND PROHIBITED ACTIVITIES

5.1 Compliance Obligations.
You agree to use the Services only in compliance with applicable laws, including data-protection, anti-spam, consumer-protection, and securities-regulation laws.

5.2 Prohibited Use.
You shall not:
a) use the Services for any unlawful, fraudulent, or deceptive purpose;
b) impersonate any person or entity;
c) harvest or collect information about other users without consent;
d) post or transmit malicious code, viruses, or automated scripts;
e) interfere with or disrupt servers or networks connected to the Services;
f) attempt unauthorized access to systems, data, or accounts;
g) engage in automated data scraping or bulk data extraction; or
h) use the Services to create competing products.

5.3 Community Standards.
Income Builder expects professional, respectful interaction in all communications, including support channels. Abusive language or harassment toward staff or other users is grounds for immediate termination.

5.4 Audit Rights.
Income Builder reserves the right to monitor usage and audit accounts to ensure compliance. Detection of prohibited activity may result in suspension or termination without refund.

6. PRIVACY, DATA COLLECTION, AND SECURITY

6.1 Privacy Policy Incorporation.
All personal information collected through the Services is governed by our Privacy Policy, which is incorporated herein by reference.

6.2 Consent to Data Processing.
By using the Services, you consent to the collection, processing, and storage of personal and financial data in the United States and other jurisdictions as necessary for the performance of the Services.

6.3 Payment Data.
Payment credentials are processed directly by Stripe or other PCI-DSS-compliant providers. Income Builder does not store full credit-card numbers.

6.4 Data Security.
Income Builder employs commercially reasonable administrative, technical, and physical safeguards—such as encryption, access controls, and secure data centers—to protect information. You acknowledge that no system is immune from unauthorized intrusion and agree to notify us immediately of suspected breaches.

6.5 Future Sensitive Data.
If the Services later store sensitive investment, financial, or personal data, Income Builder will implement enhanced encryption and limited employee access consistent with industry best practices and its Data Processing Addendum.

6.6 Data Retention and Deletion.
We retain data only as long as necessary to provide the Services or comply with legal obligations. Upon account closure, data may be archived or deleted as described in our Privacy Policy.

7. INTELLECTUAL PROPERTY RIGHTS

7.1 Ownership.
All software, source code, architecture, algorithms, user interfaces, data compilations, documentation, content, designs, trademarks, service marks, logos, and trade names comprising or displayed through the Services (collectively, the “Income Builder IP”) are and shall remain the exclusive property of IBIO LLC or its licensors. Nothing in these Terms conveys or transfers any right, title, or interest in the Income Builder IP except the limited license expressly granted in Section 3.

7.2 User Content.
If you upload, submit, or transmit data, materials, or information (“User Content”) to the Services, you grant Income Builder a worldwide, royalty-free, non-exclusive license to host, reproduce, modify, display, and use such User Content solely as necessary to operate, maintain, and improve the Services. You represent that you own or have lawful rights to all User Content provided and that such use will not infringe or violate any third-party rights.

7.3 Feedback.
Any suggestions, enhancements, or other feedback you submit regarding the Services (“Feedback”) become the sole property of Income Builder. You irrevocably assign all intellectual-property rights in the Feedback and waive any claim to additional compensation.

7.4 Trademarks and Publicity.
Except with prior written consent, you shall not use Income Builder’s name, trademarks, or logos in advertising, publicity, or other promotional materials. Income Builder may include your company name or logo in lists of users for marketing or reference purposes, provided no confidential information is disclosed.

7.5 Protection of Rights.
You agree not to remove or alter proprietary notices or disclaimers within the Services. Any unauthorized reproduction or distribution of the Income Builder IP is strictly prohibited and may result in civil and criminal penalties.

8. THIRD-PARTY SERVICES, LINKS, AND INTEGRATIONS

8.1 Third-Party Platforms.
The Services may integrate with or depend upon third-party APIs, data sources, and platforms such as Stripe, PayPal, cloud-hosting providers, analytics tools, and real-estate data feeds (“Third-Party Services”). Your use of such Third-Party Services is governed by their respective terms, privacy policies, and compliance requirements.

8.2 Disclaimer of Responsibility.
Income Builder does not control or endorse Third-Party Services and is not responsible for their availability, accuracy, legality, or performance. You acknowledge and agree that Income Builder shall not be liable for any damages arising from use of or reliance upon any Third-Party Service.

8.3 Data Exchange.
Where integrations require the exchange of information between the Services and Third-Party Services, you authorize Income Builder to transmit, receive, and process such data as necessary for interoperability. You remain responsible for securing all relevant consents from data subjects as required by applicable law.

8.4 Changes to Integrations.
Income Builder may modify or discontinue integrations at any time without liability. If a Third-Party Service materially changes its functionality or terms, Income Builder may suspend related features without breach.

9. REPRESENTATIONS, WARRANTIES, AND DISCLAIMERS

9.1 Mutual Representations.
Each party represents and warrants that it has the legal power and authority to enter into these Terms and to perform its obligations hereunder.

9.2 User Representations.
You represent and warrant that:
(a) all information you provide is accurate and complete;
(b) you will comply with all laws, including those governing data privacy, marketing, and securities;
(c) you will not use the Services to offer or sell securities or investment products in violation of applicable regulations.

9.3 Service Disclaimer.
THE SERVICES, SOFTWARE, AND ALL RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” INCOME BUILDER MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

9.4 No Financial or Investment Advice.
Information, analytics, and projections provided through the Services are for educational and informational purposes only and do not constitute professional investment, tax, or legal advice. You are solely responsible for evaluating risks before acting on any information.

9.5 Beta Features.
Certain new or experimental features may be designated as “beta.” Such features are offered “as is” with no representations or warranties and may be modified or discontinued without notice.

10. INDEMNIFICATION

10.1 Your Obligation.
You shall defend, indemnify, and hold harmless Income Builder, its affiliates, officers, directors, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:
(a) your use or misuse of the Services;
(b) your violation of these Terms or applicable law;
(c) your infringement or misappropriation of third-party rights; or
(d) disputes between you and any third party concerning real-estate transactions facilitated through the Services.

10.2 Procedure.
Income Builder will provide you with prompt notice of any claim and may elect to participate in the defense at its own expense. You may not settle any claim without written consent if such settlement admits liability or imposes obligations on Income Builder.

11. LIMITATION OF LIABILITY

11.1 Exclusion of Damages.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCOME BUILDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 Cap on Liability.
IN NO EVENT SHALL INCOME BUILDER’S TOTAL AGGREGATE LIABILITY UNDER ANY THEORY OF LAW EXCEED THE AMOUNTS ACTUALLY PAID BY YOU TO INCOME BUILDER FOR THE SERVICES DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11.3 Essential Purpose.
The limitations set forth herein are fundamental elements of the bargain between the parties and shall apply notwithstanding any failure of essential purpose of any limited remedy.

11.4 Jurisdictional Limits.
Some jurisdictions do not allow exclusion or limitation of certain damages; in such cases, the above limitations shall apply to the fullest extent permitted.

12. DISPUTE RESOLUTION, ARBITRATION, AND CLASS ACTION WAIVER

12.1 Initial Resolution.
Before commencing arbitration, the parties shall attempt in good faith to resolve any dispute informally by providing written notice and a thirty (30)-day negotiation period.

12.2 Binding Arbitration.
Except as otherwise expressly provided, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be finally settled by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules.

12.3 Venue and Language.
Arbitration shall take place in Cheyenne, Wyoming, in the English language, before a single neutral arbitrator. The arbitrator’s award may be entered in any court of competent jurisdiction.

12.4 Class Action Waiver.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND INCOME BUILDER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.

12.5 Exceptions.
Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction in Wyoming to prevent actual or threatened infringement or misappropriation of intellectual-property rights.

12.6 Opt-Out.
You may opt out of this arbitration provision by sending written notice to support@incomebuilder.io within thirty (30) days after first agreeing to these Terms. If you opt out, both parties consent to exclusive jurisdiction of the state and federal courts located in Laramie County, Wyoming.

12.7 Costs.
Each party shall bear its own arbitration fees and expenses unless the arbitrator determines that allocation otherwise is required by applicable law or fairness.

12.8 Survival.
This Section 12 shall survive termination of these Terms or your account.
